Terms of Service
These Terms of Service ("Terms") govern your access to and use of GitMe(GitMe OÜ , Harju maakond, Tallinn, Kesklinna linnaosa, Tornimäe tn 5, 10145) products, services, and websites. By using GitMe you agree to be bound by these Terms.
1. Accounts and eligibility
You must be at least 18 years old and capable of forming a binding contract to use GitMe. You are responsible for the accuracy of the registration information you provide and for maintaining the confidentiality of your credentials. You agree to promptly update your account details if they change and to notify us of any unauthorized use.
2. Access to the services
GitMe grants you a limited, non-exclusive, revocable license to access and use the services during the term of your subscription or evaluation. You must not reverse engineer, attempt to gain unauthorized access, or use the services in a manner that interferes with other users. We may suspend or terminate access for activities that violate these Terms or applicable law.
3. Customer data and security
You retain all ownership rights to customer data that you provide to GitMe. You grant us a limited license to process and analyze that data solely to deliver the services and improve our products in accordance with our Privacy Policy. We implement administrative, technical, and physical safeguards designed to protect your data and require subprocessors to follow comparable protections.
4. Acceptable use
- Do not upload content that infringes intellectual property rights or violates laws and regulations.
- Do not attempt to disrupt or impair the integrity or performance of the services.
- Do not misrepresent your affiliation with GitMe or use the services to develop a competing product.
- Do not remove proprietary notices, attempt to bypass security controls, or share credentials outside your organization.
5. Subscription terms and payment
Paid subscriptions renew automatically unless you provide written notice of non-renewal at least 30 days before the renewal date. Pricing is usage-based and tied to the AI analysis tokens (input and output) you consume at the per-million rates listed for your selected Gitme‑DevAI model tier on our Pricing page. You authorize GitMe to bill you for usage and applicable taxes, and late payments may result in suspension of service. Fees are non-refundable except where required by law or described in our Refund Policy.
6. Intellectual property
GitMe owns all rights, title, and interest in the services, including all software, documentation, logos, and other materials. Except for the limited license provided above, no rights are granted to you. Feedback and suggestions may be used by GitMe without obligation or restriction.
7. Confidentiality
Each party agrees to protect the other's confidential information with the same level of care it uses to protect its own confidential information, and not to use or disclose such information except as necessary to fulfill the purpose of these Terms. Confidentiality obligations survive termination for three years, except for trade secrets which remain protected as long as they qualify as trade secrets.
8. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, GITME DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR SPECIFIC NEEDS.
9. Limitation of liability
TO THE FULLEST EXTENT ALLOWED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, OR DATA. GITME'S TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO GITME DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
10. Indemnification
You agree to indemnify and hold GitMe, its affiliates, and personnel harmless from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the services, breach of these Terms, or violation of applicable law. GitMe will provide you with prompt notice of any claim and cooperate with you in the defense.
11. Termination
You may stop using the services at any time. Either party may terminate these Terms for material breach if the breach is not cured within 30 days of written notice. Upon termination, your access to the services will cease and you must delete any confidential information obtained from GitMe. Sections intended to survive termination will remain in effect.
12. Governing law and disputes
These Terms are governed by the laws of EU, excluding its conflict of laws rules. The parties agree to the exclusive jurisdiction of state and federal courts located in Estonia, EU, for disputes arising out of or relating to these Terms, except that either party may seek injunctive relief in any court with jurisdiction.
13. Changes to these Terms
We may update these Terms from time to time to reflect changes in our services or legal requirements. If we make material changes, we will provide notice through the services or via email. Continued use of the services after the effective date of the updated Terms constitutes acceptance.
